The transaction includes an initial cash purchase price of $20 million, subject to customary adjustments at closing, and deferred cash consideration totaling $10 million payable in three equal annual installments beginning in 2029. Additionally, International Minerals Carlsbad, LLC will assume responsibility for the asset retirement obligations associated with the Carlsbad operations. Mosaic expects to close the transaction in the first half of 2026 and record a non-cash asset impairment in the fourth quarter of 2025.
